Terms of Service

These Terms of Service ("Terms") govern access to and use of https://privatetake.com and the PrivateTake service (the "Service") operated by FiveToClose ("we," "us," or "our"). PrivateTake is another product of the brand FiveToClose.cloud.

By creating an account, signing in with Google, completing 2FA, starting a subscription, or using the recorder, you agree to these Terms, our Privacy Policy, and Disclaimer. If you do not agree, do not use the Service.

1. Description of the Service

PrivateTake is software for private, local-first screen recording and related editing features. Capabilities may include:

The Service is provided "as is" and "as available." Features evolve. Browser and OS support varies; Chrome and Edge are recommended.

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. You may not use the Service if barred under applicable law or if we have suspended your account.

Free (after login + 2FA) includes the local recorder and basic tools as described on the site at the time of use. Paid plans currently include approximately:

Prices may change for future purchases. Taxes may apply. Billing is handled by Stripe. Cancel renewals via Stripe customer portal or by contacting support before the next billing date where applicable. Lifetime Pro is a one-time purchase for the stated feature set at purchase time; it is not a guarantee of free cloud hosting (we do not host videos) or perpetual free labor for custom features.

6. Privacy architecture (product promise)

Account and billing data are processed on our servers as described in the Privacy Policy. Video, audio, and project media from recording sessions are not uploaded to PrivateTake servers as part of normal product design. If you later use third-party storage (Drive, Dropbox, etc.), those providers' terms apply—not a transfer of ownership to us.

7. Intellectual property

The Service software, branding, and site content are owned by FiveToClose or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service according to your plan. You may not reverse engineer, scrape abusively, resell access, or remove proprietary notices except as allowed by law.

The Service depends on third parties including Google (sign-in), Stripe (payments), browser vendors, and hosting providers. We are not responsible for outages or policy changes of third parties.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, identical capture quality across all devices, or that local AI/transcription features will meet professional accuracy standards on all hardware.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIVE TOCLOSE AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM (OR USD $50 IF YOU PAID NOTHING).

11. Indemnity

You agree to indemnify and hold harmless FiveToClose and its operators from claims arising out of your recordings, your misuse of the Service, your violation of law, or your violation of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for Terms violations, risk, or non-payment. Provisions that by nature should survive (including IP, disclaimers, liability limits, indemnity) survive termination.

13. Changes

We may modify these Terms. Continued use after posting changes constitutes acceptance where permitted by law. The "Last updated" date will be revised accordingly.

14. Governing law

These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict-of-law rules, unless mandatory consumer law in your jurisdiction provides otherwise. Venue for disputes shall be in courts located in Texas, USA, where permitted.
